Contract Guidance

Contracts & Agreements

If a New York Institute of Technology researcher desires to receive funding from, collaborate with, or transfer materials/data to/from collaborators outside of 黑料导航, an agreement is required. Agreements establish terms for the permitted uses of the materials or data, scope of research, confidentiality, publication/disclosure of research results, and ownership of intellectual property and developed inventions. 

Agreements related to research activities and industry collaboration are primarily handled by the offices of Sponsored Programs and Research (OSPAR) and General Counsel. Please contact OSPAR at grants@nyit.edu  with any questions. 

The standard categories of research agreements are listed below. However, if you plan on initiating any other arrangements not listed, please contact OSPAR for guidance on required documentation.

An agreement involving receipt of funds from a federal agency to support research and/or specific projects.
Foundation or Non-profit Sponsored Research
(AOA, IEEE, AHA)
An agreement documenting a legal relationship between 黑料导航 and a collaborating organization for the purpose of carrying out a portion of a sponsored award.
Industry-Sponsored ResearchAgreement involving receipt of funds from a for-profit sponsor to support research and/or specific projects.
Research Services AgreementAn agreement documenting a legal relationship between 黑料导航 and a collaborating organization for the purpose of carrying out a portion of a sponsored award.
Subcontract/SubawardAn agreement documenting a legal relationship between 黑料导航 and a collaborating organization for the purpose of carrying out a portion of a sponsored award.
External Student Agreement [Link]An agreement between 黑料导航 and another Institution of Higher Education for a non-黑料导航 student to engage in research with a 黑料导航 faculty member,
Visiting Scientist/Researcher Agreement [Link]An agreement between 黑料导航 and another organization or individual providing for a faculty or other affiliated member of the university to engage in work at the other organization, or for a faculty or other affiliated member of the other organization to engage in work at 黑料导航.
Material Transfer Agreement (MTA)An agreement that governs the exchange of confidential or proprietary material, knowledge, or information for specific purposes between 黑料导航 and another organization. 
Non-disclosure or Confidentiality Agreement (CDA)An agreement that governs the transfer of research data between 黑料导航 and another organization.
Data Use Agreement (DUA)An agreement that governs the transfer of research data between 黑料导航 and another organization.
Collaboration Agreement [Link]An agreement between 黑料导航 and another organization involving collaborations where two or more parties are collaborating to perform research (generally unfunded), and/or agreements that involve mutual exchange of materials.
Consulting AgreementAn agreement with individual faculty or staff to provide certain services to an outside entity or 黑料导航.
Gift
(Given by a donor who expects nothing in return)
Formal document between a donor and 黑料导航 that describes the nature and purpose of the gift. Contact the Office of Development, Alumni Relations & External Affairs for more information.

Process

Submission/Review

Contact OSAPR at grants@nyit.edu to discuss your research needs. OSPAR will coordinate with the Office of General Counsel to determine the appropriate contract.

Note: Please allow up to 10 business days for the agreement draft/review. This timeframe may need to be extended if an IRB approval/exemption is required and a copy of the IRB approval has not been provided.

Negotiations

Typically, negotiations occur between the two parties (usually legal departments) on various provisions of the agreement.

Execution

黑料导航 researchers are NOT authorized to sign agreements on behalf of the university.

The authorized 黑料导航 signatories reside with the vice provost for research, vice presidents, and/or designated officers. Once the agreement has been signed by both parties, the research can proceed.
